These Terms of Service ("Terms") are a legal agreement between Kozi Publishing LLC, doing business as MiniShoots ("MiniShoots", "we", "us", "our"), and you ("you", "your", "Photographer" or "Client"). Kozi Publishing LLC is a Delaware limited liability company. By accessing or using MiniShoots, you agree to be bound by these Terms.
MiniShoots is a mobile application and web service that helps photographers manage mini-session bookings, collect payments, and automate client communications. The service includes:
You must create an account to use MiniShoots. You agree to:
Clients who book sessions through MiniShoots agree to provide accurate contact information and make timely payments according to the photographer's policies.
Starter Plan: Free to use with a 3.9% commission on each booking and a $25 minimum booking price requirement.
Pro Monthly: $59/month subscription with 0% commission and no minimum booking price.
Pro Annual: $399/year subscription with 0% commission and no minimum booking price.
Client booking payments for photography sessions are processed through Square. By using MiniShoots, you agree to Square's terms of service. MiniShoots commissions (for Starter plan users) are automatically deducted from each client payment. Funds are transferred to the photographer's Square account according to Square's payout schedule.
Pro subscriptions are billed in advance and automatically renew unless canceled at least 24 hours before the renewal date.
Subscriptions purchased through the iOS app are managed by Apple. Apple processes payments, provides receipts, and handles subscription management. See Apple's terms of service for additional details.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
When you purchase a MiniShoots subscription through our website, Paddle.com processes your payment, issues invoices, and handles applicable sales tax/VAT collection. Paddle is the seller of record for web purchases.
Photographers are responsible for issuing refunds to their clients according to their own cancellation policies. MiniShoots provides tools to process refunds, but refund decisions are at the photographer's discretion.
We offer a 14-day money-back guarantee on all Pro subscriptions. If you're not satisfied for any reason, you may request a full refund within 14 days of purchase. No questions asked. See our Refund Policy for details.
Pro Monthly subscriptions may be canceled at any time but are non-refundable after the billing date. Web subscription refunds are processed by Paddle as the Merchant of Record. iOS subscription refunds are managed by Apple.
Clients can cancel or reschedule bookings according to the photographer's cancellation policy (typically 48 hours in advance). Photographers may charge cancellation fees or retain deposits for late cancellations.
Photographers may mark bookings as "no-show" and charge penalties when clients fail to attend scheduled sessions.

MiniShoots and all related logos, designs, and content are owned by MiniShoots and protected by copyright and trademark laws. You may not copy, modify, or distribute our intellectual property without permission.
We strive to provide reliable service but do not guarantee 100% uptime. We reserve the right to modify, suspend, or discontinue the service at any time with reasonable notice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You agree to indemnify and hold harmless MiniShoots from any claims, damages, or expenses arising from your use of the service or violation of these terms.
We may terminate or suspend your account at any time for violations of these terms. You may cancel your account at any time. Upon termination:
We may update these terms at any time. We will notify users of material changes via email or in-app notification. Continued use after changes constitutes acceptance of the new terms.
These terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@minishoots.com and attempt to resolve any dispute informally for at least thirty (30) days. This informal resolution period begins upon receipt of written notice from one party to the other. Most disputes can be resolved through this informal process.
If we cannot resolve a dispute informally, you and MiniShoots agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of MiniShoots (including the formation, performance, and breach of these Terms) shall be finally resolved by binding arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including whether a claim is subject to arbitration.
YOU AND MINISHOOTS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction, provided the dispute involves claims of $10,000 or less. If the claim exceeds $10,000, the arbitration provisions of this section shall apply.
You may opt out of this arbitration agreement by sending written notice to legal@minishoots.com within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration agreement.
IN ADDITION TO THE LIMITATIONS SET FORTH IN SECTION 10, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
MiniShoots is a booking platform only and is not responsible for the actual delivery, quality, timeliness, or completion of any photography services. MiniShoots does not employ, supervise, or control photographers who use the platform. Photographers are independent service providers solely responsible for their own work.
MiniShoots is not responsible for photographers' delivery of photos to clients. This includes, but is not limited to: the timing of photo delivery, the format or quality of delivered images, the number of images delivered, editing or post-processing of images, or any failure to deliver photos entirely. All delivery obligations rest solely with the photographer.
MiniShoots makes no representations or warranties regarding the quality, skill, experience, or professionalism of photographers who use the platform. Clients are responsible for vetting photographers and making their own decisions about booking photography services.
All disputes between photographers and clients—including but not limited to disputes regarding session quality, photo delivery, refunds, cancellations, rescheduling, or any aspect of the photography services—must be resolved directly between the photographer and client. MiniShoots is not a party to any agreement between photographers and clients and has no obligation to mediate, arbitrate, or otherwise resolve such disputes. MiniShoots may, at its sole discretion, provide tools to facilitate communication but assumes no responsibility for the outcome of any dispute.
Photographers retain full ownership of all photographs, images, and creative content they upload to MiniShoots. Nothing in these Terms transfers any intellectual property rights from photographers to MiniShoots, except for the limited license granted below.
By uploading content to MiniShoots, photographers grant MiniShoots a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely for the purposes of: (a) operating and providing the MiniShoots platform and services; (b) displaying content on photographers' booking pages, bio links, and other platform features; and (c) promoting the MiniShoots platform (with photographer's prior consent for promotional use). This license terminates when the content is removed from the platform or the photographer's account is closed.
MiniShoots respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on MiniShoots infringes your copyright, please submit a written DMCA takedown notice to our designated agent at:

Your notice must include:
If you believe your content was wrongly removed, you may submit a counter-notification to legal@minishoots.com containing: (a) your physical or electronic signature; (b) identification of the removed material and its prior location; (c) a statement under penalty of perjury that you believe the material was removed by mistake; and (d) your consent to jurisdiction in Delaware federal court.
